These Terms & Conditions ("Terms") govern your access to and use of the website and services (the "Service") provided by Resilience ("Resilience", "we", "us"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Resilience provides a software-as-a-service platform that helps brands and agencies measure and improve their visibility in generative AI assistants. You must be of legal age in your jurisdiction and, if you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

You are responsible for keeping your account credentials confidential and for all activity that takes place under your account. You agree to provide accurate information and to keep it up to date.

The Service, including all software, documentation, branding and related materials, is and remains the property of Resilience and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your active subscription. You retain ownership of the content you submit; you grant us a limited licence to host and process that content solely to provide the Service to you.

5. Payments, subscriptions and Merchant of Record

Our order process is conducted by our online reseller Stripe.com. Stripe.com is the Merchant of Record for all our orders. Stripe provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Stripe's Buyer Terms. Subscription fees renew automatically at the end of each billing period unless cancelled. 6. Service level

We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, error-free or available at any specific time. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

7. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay applicable fees, present a security or fraud risk, or repeatedly or seriously violate our policies. Where reasonably possible we will give you notice and an opportunity to cure. On termination your right to use the Service ends; we will make your data available for export for a reasonable period and will then delete it.

8. Limitation of liability

To the maximum extent permitted by law, our aggregate liability under these Terms is limited to the fees you paid to Stripe for the Service during the twelve months immediately preceding the event giving rise to the claim. We exclude liability for indirect, consequential, special or incidental damages, including loss of profits, revenue, data or goodwill. Nothing in these Terms excludes liability that cannot be excluded under applicable law (including liability for fraud, death or personal injury caused by negligence).

9. Indemnity

You agree to indemnify Resilience against third-party claims arising out of content you submit, your unlawful use of the Service or your breach of these Terms.

10. Governing law

These Terms are governed by the laws of the jurisdiction where Resilience is established. The courts of that jurisdiction have exclusive jurisdiction over any dispute, subject to mandatory consumer protections that may apply where you reside.

11. Changes

We may update these Terms from time to time. Material changes will be notified by email or in-product notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
